Terms of Service

These Terms of Service ("Terms") govern your access to and use of Overture (the "Service"), a Run of Show Manager web application provided by Digital Face Media, a brand of RAND Meridian, LLC ("Overture," "we," or "us"). By creating an account or using the Service, you agree to be bound by these Terms.

1. The Service

Overture is a web-based application for planning, editing, and running corporate conference run-of-show documents. The Service includes account-based access at app.overture.show, the marketing site at overture.show, and supporting features such as PDF crew sheets, email invitations, and event collaboration tools.

2. Eligibility and Accounts

You must be at least 18 years old and able to enter a binding contract to use the Service. You are responsible for keeping your login credentials confidential and for all activity that occurs under your account. Notify us immediately at support@overture.show if you suspect unauthorized access.

3. Plans, Trial, and Billing

Overture is sold on annual subscription plans (Basic, Pro, or Enterprise). Each plan includes a defined event quota for the subscription year. Every new account begins with a 7-day free trial of the plan selected at checkout, with the full plan quota available immediately.

• A valid credit or debit card is required at signup.
• You will not be charged during the 7-day trial.
• On day 8, your subscription automatically converts to an annual paid subscription and your card is charged the plan's published annual price.
• You may cancel at any time before day 8 in your account billing settings to avoid being charged.
• After conversion, the subscription renews annually until canceled. Cancellation takes effect at the end of the then-current annual term.

Pricing is published at overture.show/#pricing and may change for future billing cycles with at least 30 days' notice. Taxes, if any, are your responsibility.

4. Refunds

Annual subscriptions are non-refundable once charged. You may cancel your subscription at any time in your billing settings to prevent the next annual renewal, but mid-term refunds are not provided except where required by law or in our sole discretion in cases of a software defect that materially prevents use of the Service. 5. Your Content

You retain ownership of all run-of-show data, event content, crew rosters, files, and other material you submit to the Service ("Your Content"). You grant us a worldwide, non-exclusive, royalty-free license to host, copy, transmit, and display Your Content solely to provide and improve the Service.

You are responsible for the legality of Your Content and for any rights or consents required to upload it.

6. Acceptable Use

You agree not to:

• Reverse engineer, decompile, or attempt to extract the source code of the Service.
• Use the Service to send spam, malware, or unlawful content.
• Resell, sublicense, or rent the Service to a third party without our written permission.
• Use the Service in any way that infringes intellectual property or privacy rights.
• Interfere with or disrupt the integrity, performance, or security of the Service.

7. Service Availability

We aim for high availability but do not guarantee uninterrupted access. The Service is provided "as is" and we may modify, suspend, or discontinue features with reasonable notice. Scheduled maintenance and emergency fixes may cause temporary downtime.

8. Termination

You may cancel your subscription at any time in your billing settings. We may suspend or terminate your account for material breach of these Terms, non-payment, fraud, or abuse, with notice where practical. Upon termination, your right to use the Service ends, but Your Content remains accessible for 30 days for export unless removed earlier by law or by your request.

9. Disclaimers

EXCEPT AS REQUIRED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE. IN NO EVENT WILL WE BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL.

11. Indemnity

You agree to indemnify and hold harmless RAND Meridian, LLC (d/b/a Digital Face Media) and its officers, employees, and agents from any claim or demand, including reasonable attorneys' fees, arising out of (a) Your Content, (b) your use of the Service, or (c) your violation of these Terms.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of Florida, USA, without regard to its conflict-of-laws principles. Any dispute will be brought exclusively in the state or federal courts located in Florida, and you consent to personal jurisdiction there.

13. Changes to These Terms

We may update these Terms from time to time. The "Effective" date above will be updated, and material changes will be communicated by email or in-app notice at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
